JETSETWAY CASH BACK DEAL FOR SPADECLUB EXCLUSIVE MEMBERS TERMS AND CONDITIONS

IMPORTANT: Please read this document carefully before accepting these terms and conditions ("Agreement"). This Agreement contains the terms and conditions that apply to your participation in the JETSETWAY CASH BACK DEAL FOR SPADECLUB EXCLUSIVE MEMBERS ("CASH BACK DEAL"). All participants are required to accept the terms and conditions of this Agreement in order to be eligible. Participation in the CASH BACK DEAL is deemed an automatic acceptance of all terms and conditions set forth in this Agreement. 1. PROMOTION OVERVIEW:

The Sponsors of the CASH BACK DEAL are JetSet Travel, Inc. ("JetSetWay"), and Spade Club, LLC ("SpadeClub"), located at 6940 O'Bannon Drive, Las Vegas, NV 89117 (collectively referred to herein as "Sponsors").

Only as outlined below, and only for those persons holding current SpadeClub Exclusive Memberships on a non-trial basis, JetSetWay will deposit a cash rebate directly into his or her SpadeClub account for an amount totaling five percent (5%) of any purchase from JetSetWay's recommended travel or entertainment related companies ("Rebate").

2. ELIGIBILITY & CONDITIONS OF PARTICIPATION:

Only those persons meeting the criteria set forth in this Agreement are eligible to participate in the CASH BACK DEAL. No other persons are eligible to participate in the CASH BACK DEAL.

Only those persons who are properly registered owners of a current SpadeClub Exclusive Membership ("Exclusive Members") in accordance with SpadeClub's general Terms and Conditions (see http://www.spadeclub.com/sign-up/terms-and-conditions) at the time of purchase from JetSetWay's recommended travel or entertainment related companies are eligible to participate in the CASH BACK DEAL. The travel and entertainment-related companies to which the CASH BACK DEAL applies are selected by JetSetWay and are subject to change in the exercise of its sole and unfettered discretion. Those persons wishing to participate in the CASH BACK DEAL will find the current list of companies to which the CASH BACK DEAL applies by going to the "WE RECOMMEND" box on www.jetsetway.com.

In order to obtain the Rebate, a participant must send an e-mail to JetSetWay at admin@jetsetway.com, and include therein name, SpadeClub user name, and a copy of the applicable receipt as proof of purchase from JetSetWay's recommended travel or entertainment related companies.

The CASH BACK DEAL is not transferable, and the Rebate shall only be deposited into a SpadeClub account belonging to the purchaser of the applicable travel or entertainment related items in accordance with this Agreement. JetSetWay shall have up to and including sixty (60) days from the date of JetSetWay's receipt of proof of purchase in accordance with this Agreement within which to deposit the Rebate into the applicable SpadeClub account.

In the event that a CASH BACK DEAL participant is ineligible to participate or receive the Rebate for any reason, including, without limitation, his or her violation of this Agreement, or the general terms and conditions of JetSetWay (see http://www.jetsetway.com/privacy_terms#terms) or SpadeClub (see http://www.spadeclub.com/sign-up/terms-and-conditions) neither JetSetWay nor SpadeClub nor any owner, affiliate, officer, director, or agent of either of them shall have any duty or obligation to provide any alternative or substitute compensation of any type or nature whatsoever.

Officers, directors, employees, interns, contractors, advertising and promotion agencies, representatives, and agents of JetSetWay or SpadeClub (collectively, "Program Entities"), and households (whether having a familial relationship or not) and members of the immediate families (parents, siblings, children, spouses, and life partners of each, regardless of where they live) of the Program Entities are ineligible to participate in the CASH BACK DEAL. Sponsors reserve the right to verify eligibility and to adjudicate on any dispute at any time.

The rules set forth in this Agreement in no way alter the JetSetWay Terms and Conditions, which can be reviewed at http://www.jetsetway.com/privacy_terms#terms or the SpadeClub Terms and Conditions, which can be reviewed at http://www.spadeclub.com/sign-up/terms-and-conditions. All participants in the CASH BACK DEAL must have accepted and properly acknowledged acceptance of the SpadeClub Terms and Conditions.

Participation in the CASH BACK DEAL constitutes permission for Sponsors to use your name and/or likeness for advertising and promotional purposes without additional compensation, unless prohibited by law. Sponsors are not responsible for any typographical or other error involving any participant in the CASH BACK DEAL in any advertisement or promotional effort related thereto.

Sponsors have no duty or obligation to issue a Rebate to any participant if the recommended vendor fails -- for any reason -- to issue a commission to JetSetWay on the participant's underlying purchase. In such event, each participant agrees to release and discharge Sponsors from any and all liability arising out of JetSetWay's failure to issue a Rebate to any participant otherwise entitled to receive one pursuant to this Agreement.

YOU MUST BE EIGHTEEN (18 )YEARS OF AGE TO PARTICIPATE IN THE CASH BACK DEAL. Any participants may, at the discretion of JetSetWay or SpadeClub be required to produce proof of age (passport or valid picture id). Any participant that is not able to present such proof of age is not eligible for the CASH BACK DEAL and must forfeit any Rebate awarded to him or her in accordance with this Agreement.

SPONSORS RESERVE THE RIGHT TO REFUSE TO DELIVER A REBATE TO ANY PARTICIPANT IN THE CASH BACK DEAL THAT FAILS TO FULLY COMPLY WITH ALL OF THE REQUIREMENTS AND PROCEDURES SET FORTH IN THIS AGREEMENT.

THE CASH BACK DEAL IS VOID WHERE PROHIBITED BY LAW AND PERSONS RESIDING IN THOSE AREAS WILL NOT BE ELIGIBLE. ALL FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS APPLY. ANY AND ALL APPLICABLE FEDERAL, STATE, OR LOCAL TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNERS.

All participants in the CASH BACK DEAL agree to be bound by the terms of this Agreement and by the decisions of Sponsors, which are final and binding on all matters pertaining to this CASH BACK DEAL.

3. HOW TO PARTICIPATE:

If eligible, you may only participate in the CASH BACK DEAL by visiting www.jetsetway.com, clicking on the links in the "WE RECOMMEND" box, and by following the prompts to effectuate purchases in accordance with the terms and conditions of the applicable vendor from whom you choose to make purchases. In order to be entitled to the Rebate, you must follow all terms and conditions of the vendor necessary to establish a qualifying transaction, including, without limitation, remittance of payment in full without cancellation, refund, or credit card charge back, and acceptance of delivery at the appropriate shipping destination in accordance with the vendor's policies. Sponsors reserve the right to refuse to deliver any Rebate in which the purchaser fails to fully comply with the transactional requirements and policies established by the selected vendor.

In order to obtain the Rebate, you must send an e-mail to JetSetWay at admin@jetsetway.com, and include therein your name, SpadeClub user name, and a copy of the applicable receipt as proof of purchase from JetSetWay's recommended travel or entertainment related companies. Sponsors reserve the right to refuse to deliver any Rebate if the purchaser fails to fully comply with the e-mailing requirements set forth herein.

Any purchaser who fails to use this process will not be eligible to receive the Rebate available through participation in the CASH BACK DEAL in accordance with this Agreement.

4. PRIVACY:

Participants agree that personal data including, but not limited to, name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the CASH BACK DEAL. This data may also be used by Sponsors to verify an Exclusive Member's SpadeClub account, identity, postal address, and telephone number. All personal information that is collected from the entrant is subject to the Privacy Policy of JetSetWay and SpadeClub, at http://www.jetsetway.com/privacy_terms#privacy, and http://www.spadeclub.com/sign-up/privacy-policy, respectively.

5. INTERNET:

Sponsors are not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft, or destruction or unauthorized access to or alterations of participation materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive information by Sponsors and/or any of their affiliated companies or agents or presenters on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof.

6. RIGHT TO CANCEL, TERMINATE OR MODIFY:

If for any reason a portion of the CASH BACK DEAL is not capable of running as planned, including, but not limited to, deemed illegality by a state, federal, or other governmental authority, an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this CASH BACK DEAL, Sponsors and/or their affiliated companies or agents reserve the right at their sole and unfettered discretion to cancel, terminate, modify or suspend the CASH BACK DEAL.

7. TERMINATION OF REBATE:

Sponsors reserve the right at their sole and unfettered discretion to terminate the Rebate of any individual who: (i) tampers with the underlying administrative processes of the CASH BACK DEAL; or (ii) fails to abide with this Agreement or the Terms and Conditions of JetSetWay or SpadeClub. Termination of the Rebate from the CASH BACK DEAL may also result in the termination of the individual's SpadeClub Exclusive Membership.

Caution: Any attempt by a participant to deliberately damage any Web site or undermine the legitimate operation of the CASH BACK DEAL is a violation of criminal and civil laws and should such an attempt be made, Sponsors and/or any of their affiliated companies or agents reserve the right to seek damages from any such participant to the fullest extent of the law.

8. LIMITATION OF LIABILITY, INDEMNIFICATION, AND RELEASE:

PARTICIPANTS IN THE CASH BACK DEAL HEREBY AGREE TO HOLD HARMLESS JET SET TRAVEL, INC., SPADE CLUB, LLC, AND THEIR AFFILIATES AND PROGRAM ENTITIES, AND EACH OF THEIR OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AND AGENTS (COLLECTIVELY, "SPONSORS") FROM ANY COST, INJURY, OR OTHER DAMAGE, INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES, CAUSED OR CLAIMED TO BE CAUSED BY PARTICIPATION IN THE CASH BACK DEAL, AND/OR ACCEPTANCE OR USE OF THE REBATE, OR THE PURCHASE OF TRAVEL PACKAGES, ACCOMODATIONS, OR OTHER LEISURE-RELATED ACTIVITIES OF ANY TYPE OR NATURE WHATSOEVER PURCHASED AS PART OF THE CASH BACK DEAL.

ANY PARTICIPANT WHO PURCHASES ACCOMODATIONS AS PART OF THE CASH BACK DEAL HEREBY AGREES TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SPONSORS FROM AND AGAINST ANY CLAIM, LAWSUIT, COST, INJURY, OR OTHER DAMAGE OF ANY TYPE OR NATURE WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES, ARISING OUT OF OR OTHERWISE RELATED TO THE PARTICIPANT'S USE OR ALLEGED USE OF SAID ACCOMODATIONS.

EACH PARTICIPANT IN THE CASH BACK DEAL HEREBY RELEASES AND FOREVER DISCHARGES SPONSORS FROM ANY LIABILITY OF ANY TYPE OR NATURE WHATSOEVER IN THE EVENT THAT THE PARTICIPANT SUFFERS ANY PHYSICAL OR MENTAL INJURY, INCLUDING, BUT NOT LIMITED TO, BODILY HARM, DISFIGUREMENT, DISMEMBERMENT, OR DEATH, WHILE TRAVELING OR ENGAGING IN OTHER LEISURE ACTIVITIES OF ANY TYPE OR NATURE WHATSOEVER WHICH WERE PURCHASED AS PART OF THE CASH BACK DEAL, OR WHILE STAYING IN ANY ACCOMODATIONS PUCHASED AS PART OF THE CASH BACK DEAL.

9. WARRANTY DISCLAIMER:

SPONSORS DISCLAIM ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE, WITH RESPECT TO ANY TRAVEL PACKAGE, ACCOMODATIONS, OR OTHER LEISURE-RELATED ACTIVITIES OF ANY TYPE OR NATURE WHATSOEVER PURCHASED BY A PARTICIPANT IN THE CASH BACK DEAL.

10. GOVERNING LAW:

Except where prohibited by law, all issues concerning the construction, validity, and enforcement of this Agreement, or the rights and obligations of the participant and the Sponsors or their affiliated companies or agents, shall be construed and governed by the laws of the State of Nevada, without regarding conflicts of law. In the event that a lawsuit, claim, or other dispute arises regarding the interpretation, performance, or enforcement of any aspect of this Agreement, or regarding or in any way arising out of the CASH BACK DEAL, participant consents to the exclusive jurisdiction and venue of the Eighth Judicial District Court of Clark County, Nevada, or, if permissible under law, the United States District Court for the District of Nevada, which shall apply Nevada law. Participant agrees that the Court's decision regarding the imposition and enforcement of any equitable remedy, or regarding any monetary award for any claim of less than $50,000.00, exclusive of attorneys' fees, interest, and costs, shall be final, binding, and non-appealable. Participant agrees that he or she will abide by and perform any such order issued or award rendered by the Court, that the Court may issue a judgment based upon any such award, and that the prevailing party in such proceeding shall be entitled to recover its reasonable attorneys' fees and expenses in an amount to be determined by the Court. Participant hereby waives any right to trial by jury of any claim or cause of action that may arise out of this Agreement.

11. SEVERABILITY:

Without limiting the foregoing provisions, in the event that any provision or portion of any provision contained in this Agreement shall be unenforceable or declared to be invalid for any reason whatsoever, such unenforceability or invalidity shall not affect the remaining provisions of this Agreement, and such unenforceable or invalid provision or portion of any provision shall be severable and divisible from the remainder of this Agreement.

12. GENERAL TERMS AND CONDITIONS OF SPONSORS:

Each of the General Terms and Conditions of JetSetWay and SpadeClub are expressly incorporated herein as if set forth at length, and apply to all aspects of the CASH BACK DEAL unless any such term or condition is directly contradicted and superseded by a term or condition in this Agreement.
