2009 SPADECLUB PLAYER OF THE YEAR GRAND PRIZE
OFFICIAL RULES



IMPORTANT: Please read this document carefully before accepting these Official Rules ("Agreement"). This Agreement governs your entitlement to and acceptance of the grand prize should you earn and be awarded 2009 SpadeClub Player of the Year ("SPOY") honors. All participants in the SPOY contest are required to accept the terms and conditions of this Agreement in order to be eligible to accept the SPOY grand prize. If you do not accept the rules outlined in this Agreement, or are not authorized to do so, you will not be eligible to accept the SPOY grand prize. 1. OVERVIEW
The 2009 SpadeClub Player of the Year ("SPOY") will be determined by Spade Club, LLC, located at 1027 S. Rainbow Blvd #282, Las Vegas, NV 89145 ("Sponsor" or "SpadeClub").


The SPOY will be determined as of 11:59 pm on December 31, 2009, in accordance with the scoring criteria and calculation method set forth on the SPOY scoring criteria. Past tournaments deemed by SpadeClub to be qualifying events will be scored retroactively to and including January 1, 2009. Any tournaments that took place prior to January 1, 2009, will not be included in the SPOY calculation.


The SPOY will be awarded an all expenses paid trip for two on a 7-night Card Player Cruise of their choosing.


The grand prize package is not transferable. If you cannot enjoy the grand prize package you will have to forfeit the prize. In the event of forfeiture, the grand prize package will be awarded to the eligible participant with next highest score in accordance with this Agreement.


2. ELIGIBILITY:
Eligibility to receive the SPOY honors and the grand prize package requires strict compliance with the rules set forth in this Agreement.


You must have a SpadeClub Premium membership on a non-trial basis as of 11:59 pm on December 31, 2009, in order to receive SPOY honors and the grand prize package. For information on how to become a SpadeClub Premium member, please visit Terms and Conditions.


All participants in any SpadeClub tournament, as well as any participant that seeks to receive SPOY honors and the grand prize package, must be at least eighteen (18) years of age and have accepted and properly acknowledged acceptance of the Spade Club Terms and Conditions. SpadeClub Terms and Conditions can be found at Terms and Conditions.


You will only be eligible to receive SPOY honors and/or the grand prize package if you meet the criteria above. Any ineligible participant who wins SPOY honors shall forfeit same, together with his or her grand prize package, and SpadeClub shall have no duty or obligation to provide any award whatsoever to any such participant. In the event of forfeiture, SpadeClub reserves the right to award the SPOY grand prize package to another participant with the next highest score in accordance with this Agreement.


Officers, directors, employees, interns, contractors, advertising and promotion agencies, representatives, and agents of SpadeClub (collectively, "Program Entities"), and members of the immediate families (parents, siblings, children, spouses, and life partners of each, regardless of where they live) and members of the households (whether related or not) of the Program Entities are ineligible for SPOY honors and/or to receive the SPOY grand prize package. Sponsor reserves the right to verify eligibility and to adjudicate on any dispute at any time. If you are entering as part of a company or on behalf of your employer, these rules are binding on you, individually, and/or your employer. If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that such party has full knowledge of your actions and has consented thereto, including your potential receipt of a prize. You further warrant that you and your employer have no claim to or right of ownership in any work product created as part of this contest for SPOY honors and that your actions do not violate your employer's or company's policies and procedures.


The rules set forth in this Agreement in no way alter the SpadeClub Terms and Conditions, which can be reviewed at Terms and Conditions.


THE SPOY CONTEST AND/OR THE AWARD OF THE SPOY GRAND PRIZE PACKAGE IS VOID WHERE PROHIBITED BY LAW AND PERSONS RESIDING IN THOSE AREAS WILL NOT BE ELIGIBLE TO PARTICIPATE.


3. HOW TO PARTICIPATE:
If eligible, you may participate in SpadeClub events by visiting the following page: SPOY criteria page. Follow the prompts to play. All eligible participants will be automatically registered, and need only log on to play. If you do not timely log on to play, you will be removed from the tournament based on the SpadeClub general Terms and Conditions page.


The events that qualify for consideration toward SPOY honors are identified on the SPOY criteria page.


4. PRIZES AND APPROXIMATE RETAIL VALUE:
During early January of 2010, the winner of SPOY honors will be announced and awarded the grand prize.


In the event of a tie, all individuals who tie will play a heads-up poker match to determine the winner. The terms and conditions of such a heads-up match will be explained in the event that such a match is necessary.


The SPOY grand prize package is not transferable, and the winner agrees to forfeit his or her prize if he or she cannot enjoy the grand prize In the event of forfeiture of the SPOY grand prize package for any reason, SpadeClub reserves the right to award it another participant with the next highest score in accordance with this Agreement.


Winners must be eighteen (18) years of age, and may at SpadeClub's discretion be required to produce proof of age (passport or valid picture id). Winners that are not able to present such proof of age must forfeit the prize to the next eligible player with the next highest score who is age eighteen (18) or older.


ANY AND ALL APPLICABLE FEDERAL, STATE OR LOCAL TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNERS.


5. NOTIFICATION OF WINNERS:


The potential SPOY grand prize winner will be timely selected and notified by telephone and/or email, at SpadeClub's discretion. Return of any prize notification as undeliverable may result in disqualification and selection of an alternate winner in accordance with the judging criteria described in this Agreement. Except where prohibited by law, each potential winner may be required to sign and return a Declaration of Eligibility and Liability and Publicity Release and provide any additional information that may be required by SpadeClub. Failure to do so as requested by SpadeClub may result in the potential winner forfeiting his or her prize and another potential winner will be selected based on the judging criteria described in this Agreement.


6. PRIVACY.
Participants in the SPOY contest agree that personal data including, but not limited to, name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the contest. This data may also be used by SpadeClub to verify a Premium Member's identity, postal address, and telephone number in the event a Premium Member qualifies for the grand prize as well as to deliver the applicable grand prize package or notification of winning same. All personal information that is collected from any participant is subject to Sponsor's Privacy Policy at http://www.cardplayer.com/about_us/privacy.


7. CONDITIONS OF PARTICIPATION:
No transfer, assignment or substitution of a prize shall be allowed except as otherwise described in this Agreement, nor shall any prize be redeemable for cash, except SpadeClub reserves the right at its discretion to substitute any prize for an item of equal or greater value in the event an advertised prize becomes unavailable. Neither SpadeClub, nor any affiliate or agent of either of them, has any duty or obligation to redeem any prize for cash or to otherwise substitute any prize for any reason.


All federal, state and local laws and regulations apply. All winners agree to be bound by the rules of this Agreement and by the decisions of SpadeClub, which are final and binding on all matters pertaining to the SPOY contest and each of its qualifying events.


Acceptance of the prize constitutes permission for SpadeClub and/or its parent or affiliated companies to use winners' name and/or likeness for advertising and promotional purposes without additional compensation, unless prohibited by law. SpadeClub, and/or its parent or affiliated companies is not responsible for any typographical or other error in the printing of the offer, administration of the SPOY contest, or in the announcement of the SPOY grand prize package.


8. INTERNET:
SpadeClub and/or its parent or affiliated companies is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by SpadeClub and/or its parent or affiliated companies or presenter on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof.


9. RIGHT TO CANCEL, TERMINATE OR MODIFY.
If for any reason a portion of the SPOY contest is not capable of running as planned, including, without limitation, because it has been deemed illegal, or due to an infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the contest, SpadeClub and/or its parent or affiliated companies reserves the right at its sole discretion to cancel, terminate, modify or suspend the contest. In such an event, SpadeClub and/or its parent or affiliated companies reserves the right, but not the obligation, to select a winner based on the judging criteria described in this Agreement from eligible entries as of the termination date.


10. DISQUALIFICATION:
SpadeClub and/or its parent or affiliated companies further reserve the right at their sole discretion to disqualify any individual from the SPOY contest or any of its qualifying events who (i) tampers with the entry process or (ii) fails to abide with this Agreement or the Terms and Conditions of SpadeClub. Such disqualification from the SPOY contest or any of its qualifying events may also result in the termination of the individual's Premium SpadeClub Membership. Caution: Any attempt by an entrant to deliberately damage any Web site or undermine the legitimate operation of the SPOY contest or any of its qualifying events is a violation of criminal and civil laws and should such an attempt be made, SpadeClub and/or its parent or affiliated companies reserves the right to seek damages from any such entrant to the fullest extent of the law.


11. LIMITATION OF LIABILITY:
SPOY PARTICIPANTS AND THE SPOY WINNER AGREE TO HOLD HARMLESS SPADE CLUB, LLC, CARD PLAYER MEDIA, LLC, AND THEIR AFFILIATES AND PROGRAM ENTITIES, AND EACH OF THEIR OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AND AGENTS FROM ANY COST, INJURY, DEATH, OR OTHER DAMAGE OF ANY TYPE OR NATURE WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, ATTORNEY'S FEES, CAUSED OR CLAIMED TO BE CAUSED DIRECTLY OR INDIRECTLY BY PARTICIPATION IN THE SPOY CONTEST OR ANY OF ITS QUALIFYING EVENTS, OR BY ACCEPTANCE OR USE OF ANY PRIZE, OR ANY TRAVEL OR LODGING RELATED THERETO.


12. GOVERNING LAW:
Except where prohibited by law, all issues concerning the construction, validity and enforcement of this Agreement, or the rights and obligations of the entrant and SpadeClub and/or its parent or affiliated companies, shall be construed and governed by the laws of the State of Nevada, without regarding conflicts of law. All suits or claims brought in connection with or arising out of the SPOY contest or any of its qualifying events must be brought in a court of competent jurisdiction in a state or federal court in Clark County, Nevada.


13. IDENTIFICATION OF THE SPOY WINNER:
Identification of the SPOY winner will be made available upon request to SpadeClub. Requests may be made by contacting SpadeClub at 1027 S. Rainbow Blvd #282, Las Vegas, NV 89145.


14. SPADECLUB GENERAL TERMS AND CONDITIONS
Each of SpadeClub's General Terms and Conditions are expressly incorporated herein as if set forth at length, and apply to all aspects of the SPOY contest and each qualifying event unless any such term or condition is directly contradicted and superseded by a term or condition in this Agreement. 15. SPONSOR:
